Terms of Service

1. The Service

AudaBook provides a software-as-a-service platform that connects to your WhatsApp number and uses artificial intelligence to answer customer messages, book and manage appointments, send reminders, and provide a management dashboard and CRM for service businesses such as salons, clinics, spas, and barbershops.

The Service is provided on a subscription basis. Features, usage limits, and pricing depend on the plan you select and are described on our pricing page.

2. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential.
• You are responsible for all activity that occurs under your account, including activity by your team members and staff.

3. Payments, Subscriptions & Billing

Our order process and payments are handled by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle handles all payment transactions, billing, and related customer service inquiries, and manages refunds and returns in accordance with our Refund Policy.

• Subscriptions are billed in advance on a recurring monthly or annual basis depending on the plan you choose, and renew automatically until cancelled.
• Taxes (such as VAT or sales tax) are calculated, collected, and remitted by Paddle where applicable and may be added to the prices shown.
• Cancellation: You may cancel your subscription at any time from your dashboard or by contacting us. Your plan remains active until the end of the current billing period; we do not provide pro-rated refunds for unused time except as described in our Refund Policy.
• Failed payments: If a renewal payment fails, we may suspend or downgrade your access until payment is resolved.

4. Free Trials

We may offer a free trial. Unless you cancel before the trial ends, your subscription will begin automatically and the payment method on file (processed by Paddle) will be charged for the plan you selected. We will make the trial terms clear at sign-up.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, bulk unsolicited messages, or any communication that violates WhatsApp's or Meta's terms, policies, or rate limits.
• Engage in unlawful, fraudulent, deceptive, abusive, or harmful activity, or to harass any person.
• Transmit malware, attempt to gain unauthorized access to the Service, or interfere with its normal operation.
• Resell, sublicense, or reverse-engineer the Service without our written permission.

You are solely responsible for obtaining any consents required to message your own customers and for complying with applicable laws (including marketing, consumer-protection, and data-protection laws) in your jurisdiction.

6. Your Data & Your Customers

You retain ownership of the data you and your customers submit to the Service ("Your Data"). With respect to the personal data of your end customers, you act as the data controller and AudaBook acts as your processor. We process Your Data only to provide and improve the Service, as described in our Privacy Policy. We do not sell Your Data.

7. Intellectual Property

The Service, including its software, design, and content (excluding Your Data), is owned by AudaBook and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.

8. Service Availability & Disclaimers

We work hard to keep the Service reliable, but it is provided on an "as is" and "as available" basis without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that the AI will always respond perfectly. The Service depends on third parties (including WhatsApp/Meta and AI providers) whose availability is outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, AudaBook will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure for us or others. Upon termination, your right to use the Service ends; we may delete Your Data after a reasonable retention period as described in our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws applicable at AudaBook's principal place of business, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts of that location.
